Terms of Service

By accessing or using the website located at https://accgpt.net (the “Site”) and any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must discontinue use of the Service immediately.

Use of the Service is limited to individuals who are at least 13 years of age (or the minimum age required under applicable law, whichever is higher). Individuals under the age of 13 are not permitted to use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

AccGPT provides access to AI‑powered language models via a web interface and an API. The Service may be provided in a “beta” or “preview” state and may be changed, suspended, or discontinued at any time, with or without notice.

We reserve the right to limit, suspend, or terminate your access to the Service at our sole discretion, including but not limited to violations of these Terms or any applicable law.

You agree not to use the Service to:

• Violate Laws ‑ Engage in any activity that is illegal under United States law, the law of Colorado, or any applicable jurisdiction.
• Harass or Threaten ‑ Harass, threaten, or defame any person or entity.
• Distribute Illicit Content ‑ Upload, transmit, or otherwise make available pornographic, extremist, or otherwise illegal content.
• Reverse Engineer ‑ Attempt to reverse‑engineer, decompile, or otherwise derive the source code or underlying algorithms of the Service.
• Distribute the Service ‑ Resell, redistribute, or provide the Service (or parts thereof) to third parties without prior written permission.
• Misuse AI Output ‑ Use generated content to create disinformation, deepfakes, or any other deceptive material.

Failure to comply may result in immediate termination of your account and/or legal action.

All software, designs, logos, and other proprietary material used to provide the Service are owned by or licensed to AccGPT (“AccGPT Intellectual Property”). You are granted a limited, revocable, non‑exclusive, non‑transferable right to use the Service in accordance with these Terms.

You retain ownership of any content you submit to the Service. By submitting content, you grant AccGPT a worldwide, royalty‑free, non‑exclusive license to use, store, process, and display such content for the purpose of providing the Service.

You are solely responsible for the content you provide to the Service (including prompts, uploaded files, and generated output). You agree not to submit content that infringes any third‑party rights or violates any provision of Section  4.

AccGPT reserves the right, without notice, to remove or disable access to any content that violates these Terms.

In addition to these Terms of Service, if you use the AccGPT API, there is an additional API Terms of Service that applies specifically to your AccGPT API usage. The API Terms of Service are in addition to this Terms of Serivce and only apply when the API services have been used.

We reserve the right to modify those Terms of Service at any time, with or without prior notice, provided that any material changes will be posted to the API Terms of Service page. Your continued use of the API services after any such changes constitutes your acceptance of the revised API Terms of Service.

The Service is provided “as is” and “as available” without any warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non‑infringement, or uninterrupted, error‑free operation.

AccGPT does not guarantee the accuracy, reliability, or suitability of any AI‑generated output. You acknowledge that AI‑generated content may contain errors, biases, or inappropriate material.

To the maximum extent permitted by applicable law, AccGPT, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or use, arising out of or related to your use of the Service.

AccGPT’s total aggregate liability to you for any claim arising out of or relating to these Terms shall not exceed the amount you have actually paid to AccGPT for the Service in the twelve (12) months preceding the claim.

You agree to defend, indemnify and hold harmless AccGPT and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms, your use of the Service, or your violation of any law or the rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict‑of‑law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Boulder County, Colorado. You hereby consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms of Service at any time, with or without prior notice, provided that any material changes will be posted on this page and, where appropriate, communicated to you by email. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

Either party may terminate the relationship at any time, with or without cause, by providing written notice to the other party.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Service. Sections 5 (Intellectual Property), 7 (Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law), and any other provisions that by their nature should survive termination shall remain in effect.

Severability. If any provision of these Terms is found to be unenforceable, the remainder will remain in full force and effect.

Entire Agreement. These Terms constitute the entire agreement between you and AccGPT with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral or written.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. AccGPT may assign its rights and obligations without restriction.
